LAW7040 Corporations

This course examines the legal rules governing corporations with an emphasis on Delaware law and the duties of the officers, directors, and controlling shareholders of public corporations. Covered topics include asset partitioning, limited liability, fiduciary law, shareholder voting, derivative suits, control transactions, and basic aspects of mergers and acquisitions. Attention will also be given to the role of the corporation in society and corporate personhood. Prerequisite: None
